- I will be discussing the following matters today:
- The 102th Annual Shareholders Meeting
- Personnel Changes in Executive Positions
The 102th Annual Shareholders Meeting
- First, I would like to discuss the 102th Annual Shareholders Meeting.
- First of all, I am pleased to report that the Annual Shareholders Meeting has been successfully concluded.
- At this General Meeting, 312 shareholders attended—46 more than last year.
- The meeting lasted 2 hours and 19 minutes, which was 10 minutes longer than last year.
- We reported on our business performance for fiscal year 2025 and sought your deliberation on a total of 12 proposals—four proposed by the company and eight proposed by shareholders—and the four company proposals were approved.
- Shareholders posed questions and offered valuable opinions on key management issues, such as the inappropriate incident at the Hamaoka Nuclear Power Plant and our initiatives regarding renewable energy, to which we provided detailed responses.
- In addition, nine "Directors (excluding those serving as Audit and Supervisory Committee members)" and four "Directors serving as Audit and Supervisory Committee members" were elected.
- We would like to introduce two of the newly elected Directors.
- The new director is Mr. Minoru Yasui.
- Mr. Yasui has served as Senior Managing Executive Officer since April of last year and was elected as a director at this General Meeting.
- In addition, Mr. Shinichi Hirose was elected as a new outside director. He possesses extensive experience and broad insight, having been involved in corporate management for many years as an executive at Tokio Marine Holdings and Tokio Marine & Nichido Fire Insurance.
- Under this new management structure, and based on governance reforms implemented in response to the inappropriate practices related to the formulation of standard seismic motions during the review of the Hamaoka Nuclear Power Plant's compliance with the new regulatory standards, our Group will continue to provide value to our stakeholders. In doing so, we will contribute to the development of a sustainable society and strive to further enhance our corporate value.
Personnel Changes in Executive Positions
- Next, I would like to discuss the personnel changes for executive positions effective July 1.
- In the "Outline of the New Mid-Term Management Plan" announced on April 28, the three Chubu Electric Power companies outlined a strategic direction to respond to customer needs and societal challenges by focusing on our core energy business—which includes ensuring a stable supply and providing low-carbon and decarbonization value—while expanding into businesses expected to generate synergies with our energy operations.
- Furthermore, in light of the inappropriate practices related to the formulation of standard seismic motion guidelines, we are working on "transforming our organization and organizational culture" as one of the key measures to rebuild trust with our stakeholders and become a company worthy of their confidence once again.
- With these considerations in mind, the three Chubu Electric Power Group companies will implement personnel changes affecting approximately 1,700 executives, effective July 1.
- These personnel reassignments involve strategic placements aimed at accelerating initiatives related to DX and AX, as well as strengthening management across the entire Group.
- Furthermore, to drive the transformation of our organization and organizational culture, we will implement personnel exchanges between the Nuclear Division and other divisions, as well as assign Strategic Human Resources Partners (HRBPs)—who work in tandem with business divisions to manage talent—to the Nuclear Division.
- Regarding personnel exchanges, we plan to continue implementing them sequentially even after these executive-level personnel changes. We aim to broaden perspectives through interaction among employees with different work cultures and values, and to foster communication both within and outside the Nuclear Division.
